Terms of Service

1. Acceptance of Terms

By accessing or using Opslytica ("the Service"), operated by Opslytica Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these terms.

2. Description of Service

Opslytica is a cloud-based operational intelligence platform that provides:

  • SLA tracking and breach detection
  • Operational metrics monitoring and dashboards
  • Case management and lifecycle tracking
  • Real-time alerting and threshold configuration
  • REST API for data collection and integration

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain one account per individual person.
  • Keep your login credentials confidential and secure.
  • Notify us immediately of any unauthorized use of your account.

You must be at least 18 years of age or an authorized representative of a business entity to create an account. You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to use the Service to:

  • Reverse engineer, decompile, or disassemble any part of the platform.
  • Scrape, crawl, or harvest data from the Service by automated means beyond the provided API.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Engage in any illegal activity or use the Service for unlawful purposes.
  • Attempt to circumvent any security measures or access controls.
  • Share your account credentials with other individuals or organizations.

Violation of these terms may result in immediate suspension or termination of your account.

5. Subscription and Billing

Paid plans are billed on a monthly or annual basis, depending on the plan you select. Key billing terms:

  • Auto-renewal — Subscriptions automatically renew at the end of each billing period unless cancelled.
  • Cancellation — You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • Free trial — New accounts receive a 14-day free trial with full access to platform features. At the end of the trial, you may subscribe or your account reverts to the Free plan.
  • Downgrade — When downgrading, your data is preserved in a read-only state for 30 days. During this grace period, you may export all data. After 30 days, the lower plan's data retention limits apply and data beyond those limits is permanently deleted.
  • Price changes — We may adjust pricing with at least 30 days' written notice before the change takes effect.
  • Refunds — Annual plan customers may request a prorated refund within the first 30 days. Monthly plans are non-refundable.

6. Intellectual Property

Our platform: Opslytica owns all rights, title, and interest in the Opslytica platform, including its software, design, documentation, and branding. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.

Your data: You retain all rights to the data you submit to Opslytica. We claim no ownership over your content or data.

License to process: By using the Service, you grant us a limited, non-exclusive license to process, store, and display your data solely for the purpose of providing and improving the Service.

7. Data Processing

We process your data in accordance with our Privacy Policy. With respect to personal data:

  • You are the data controller for the data you submit to Opslytica.
  • We act as the data processor, processing data only on your behalf and in accordance with your instructions.
  • A Data Processing Agreement (DPA) is available upon request for customers who require one for regulatory compliance.

8. Uptime and SLA

We commit to maintaining a 99.9% uptime target for the Opslytica platform, measured on a monthly basis.

  • Service credits — If monthly uptime falls below 99.9%, eligible customers may receive service credits proportional to the downtime experienced.
  • Scheduled maintenance — Planned maintenance windows are excluded from uptime calculations. We will provide at least 48 hours' advance notice for scheduled maintenance.
  • Status page — Real-time platform status is available at status.opslytica.com.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total aggregate liability for any claims arising under these Terms shall not exceed the fees you paid to us in the twelve (12) months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, regardless of whether we were advised of the possibility of such damages.

These limitations apply to all causes of action, whether based in contract, tort, negligence, strict liability, or any other legal theory.

10. Termination

  • By you: You may terminate your account at any time with 30 days' written notice or by cancelling through your account settings.
  • By us: We may suspend or terminate your account immediately if you violate these Terms. For terminations without cause, we will provide 30 days' notice.
  • Data export: Upon termination, you will have 30 days to export your data. After that period, we will delete your data in accordance with our Privacy Policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
